Research-Related Agreements-Responsible Offices

Responsibility for handling different types of agreements for research-related activities is distributed across several UCI offices. This matrix is intended to help clarify which office has primary responsibility for negotiating and executing research-related agreements.

Clinical Trial AgreementA contract that contains detailed terms governing the performance, funding and reporting of controlled, clinical testing of new drugs, devices, treatments or diagnostics, or comparisons of approved drugs, devices or diagnostics in human subjects to assess their safety, efficacy, benefits, costs, adverse reactions and/or outcomes under an industry-developed or an investigator-developed protocol.SPA

Incoming Subaward/SubcontractA contract under another entity’s prime award that transfers a substantive portion of a scope of work and associated funding to UCI.SPA

Applied Innovation - Industry Sponsored Research

Outgoing Subaward/SubcontractA contract that transfers a substantive portion of a scope of work and associated funding under a UCI prime award to another entity.SPA
License/Option Agreement to UC Intellectual PropertyA contract that conveys certain use rights related to UCI intellectual property (e.g., patents, copyrights or biological materials) to another entity, usually a for-profit company.Applied Innovation - Invention Transfer Group
Material Transfer AgreementA contract (separate from a grant, cooperative agreement, research agreement, industry research agreement or clinical trial agreement) that protects the intellectual and other property rights of an entity providing a research material while permitting the receiving entity to use the material in its research.Applied Innovation - Industry Sponsored Research

International Memorandum of UnderstandingA brief document, signed by UCI and a foreign university or other institution, which states the intention for future collaboration and development of joint academic activities.  MOU's do not specify activities or commit university resources. Global Engagement
International Collaboration Agreement A formal agreement between UCI and a foreign university or other foreign institution, which specifies joint academic activities and commits resources.  Some examples  include: exchange of faculty, postdoctoral researchers, graduate students, or staff (visiting scientist agreement may also be required); UCI students taking classes at a foreign university; research collaborations not covered by a sponsored award, subaward or off-site research agreement; exchange of academic materials, research materials or technical information (material transfer agreement, license/option agreement, data use agreement and/or non-disclosure agreement may also be required); collaborative scholarship programs; hosting of joint conferences or workshops; and special short-term projects not covered by a sponsored award or subaward.Global Engagement
